The Vitality Club Terms of Service
Introduction
Welcome to The Vitality Club ("we", "us", or "our"). By using our application (the "App") and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before accessing or using the Services. If you do not agree to these Terms, do not use the Services.
Account Registration
In order to use the Services, you must create an account with The Vitality Club. You agree to provide accurate, complete, and up-to-date information during account registration and to maintain and promptly update your account information as needed.
You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
License Grant
Subject to these Terms, The Vitality Club grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use.
Restrictions
You agree not to use the Services for any purpose that is unlawful or prohibited by these Terms. You shall not:
- Modify, reproduce, distribute, or create derivative works of the Services without our express written permission;
- Use the Services for any commercial purpose or the benefit of any third party;
- Attempt to gain unauthorized access to the Services or any related systems or networks;
- Interfere with, disrupt, or negatively affect the operation or performance of the Services or other users' enjoyment of the Services;

The Services and their content, features, and functionality, including software, text, graphics, logos, and images, are the exclusive property of The Vitality Club and its licensors and are protected by copyright, trademark, and other intellectual property laws. Unauthorized use of the Services may violate these laws and these Terms.
Termination
We may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason, including but not limited to, violation of these Terms. Upon termination, your right to access and use the Services will immediately cease. All provisions of these Terms which, by their nature, should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. The Vitality Club disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Vitality Club does not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the server that makes them available are free of viruses or other harmful components.
Limitation of Liability
In no event shall The Vitality Club, its affiliates, or their respective employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, or goodwill, arising out of or in connection with your use or inability to use the Services, even if The Vitality Club has been advised of the possibility of such damages. The Vitality Club's total liability to you for all claims arising out of or relating to these Terms or your use of the Services shall not exceed the amount paid by you to The Vitality Club for the Services in the twelve (12) months prior to the event giving rise to the liability.
Indemnification
You agree to indemnify, defend, and hold harmless The Vitality Club, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Services' content, services, and products other than as expressly authorized in these Terms.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which The Vitality Club is incorporated, without giving effect to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction for the resolution of any disputes arising out of or relating to these Terms or your use of the Services.
Changes to These Terms
We may update these Terms from time to time. If we make any material changes, we will notify you by posting the updated terms on the The Vitality Club App or by sending you an email notification. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
